Guilty of breach of fiduciary duty, are Umann- DiNapoli- Bromley qualified to run for the board?

Updated: May 30, 2020

Having an order entered by the court that members of the current Board breached their fiduciary duty in three separate and distinct actions (case #1 on the 22 lawsuits list), with the disclosed fact that three board members Umann- DiNapoli- Bromley approved and authorized the repayment of an illegal loan of $50K without a membership vote, subsequently kept the loan off the books, and hid the loan from members - additional breaches of their fiduciary duty, are Umann- DiNapoli- Bromley qualified to run for the board in the recall election? Should they be banned from running for the board in the future?

There are serious malfeasance questions by these three board members and the manager. This alone is questionable as to their suitability to serve the entire Membership. In the board candidate statements, they made derogatory comments and allegations about a large portion of the membership that they are sworn to serve.

The positions, although voluntary, require the character to represent ALL members; not just those that support their ideals. It is their job to support the ideals of ALL members.

These three board members have made it clear that they cannot and will not do that.

Additionally, as in any organization, you don’t get to choose your colleagues, but you MUST work with them for the betterment of the WHOLE .

All three have violated our ByLaws and the Civil Code. They should not be allowed to remain on the board. I'm calling for their immediate resignation.
